Welcome to Groopem.com where people can build unlimited number of fully functional and customizable websites for FREE. It also provides a Marketplace for advertising purposes. Please read carefully this Terms of Use document, "Agreement" in order to join Groopem.com ( hereafter referred to as "The site"," It", "Website"," We" "Our", or "Us"). This Agreement sets out and outlines the legally binding terms for your membership. The Website provides a collection of online tools, including but not limited to Classified Ads, Blogs, Website builder, Advertising / promotion tools and various messaging services, (referred to hereafter as "Service" or "Services"). By using the Service on the site, and by becoming a member, you (referred to hereafter as "User" "Member", "Your" or "You") acknowledge having read and understood the terms and conditions of this Agreement and that you agree to be bound by all of its provisions. We also reserve the right to modify, enhance, or discontinue the Services in part, or in whole at any time, for any reason, or for no reason at all. We can do so at our sole discretion, with or without notice or obligation to "Users".

A) Eligibility

Membership in the service is void where prohibited. All Website services are intended solely for the access and use of individuals that are thirteen (13) years of age and older. By joining or accessing the website at Groopem.com , you are automatically certifying that you are at least thirteen (13) years old and can and will be legally bound by this Agreement. . If you are a minor or less than thirteen (13) years old, you must not register nor use this site.

B) Acceptance and Modifications

We reserve the right, at our sole discretion, to change, modify, add or delete any parts of this Agreement at any time without further notice. If and when we so, and for your convenience as "User", we shall immediately post the changes to this Agreement on the top of this page and will clearly show the date we last revised these terms. If you make the decision to continue using the Service or the Site after any such changes have been posted, this will constitute in your agreement and acceptance to the new Terms of Use and Service. If for any reason you are in disagreement with these or any future Terms of Use and if you refuse to abide by them, you must NOT use or access (or continue to use or access) the Service or the Site. We encourage you as "User" to check the Site on regular basis in order to determine if there are changes to this Agreement and to review such changes. It is your sole responsibility to do so.

C) Description of Services

Groopem.com provides free website building tools and free web hosting. It offers website space and many related services, including but not limited to site building, editing, and promotion tools all across the website. You will be required to provide current, accurate personal information ("Registration Data"), including a valid email address, in order to register for Services as a "Member" or "User." As a Member or a visitor to any site hosted by Groopem (a "user"), by viewing "Content" - which includes but is not limited to text, images, videos, and other media uploaded by Members or Webs and hosted by Groopem - you may be subject to all or part these Terms. You understand that users may receive some amount of direct and indirect communications from Groopem, such as email newsletters, service announcements, and administrative messages. Use of Registration Data is subject to our Privacy Policy.

D) Termination and Cancellation

Groopem reserves the right to cancel any Member's Services for any reason or no reason at all. We provide web hosting to sites that abide by our Terms of Sevice. If you or Groopem cancel your Services, cancellation will immediately stop all Services. You will no longer have access to your website and all associated information may be deleted by Groopem. You are solely and entirely liable for all activities conducted through your account.

E) Account Security and Obligations

Once registered with Groopem.com you will have an account and a password. From this point onward it is entirely your responsibility to maintain confidentiality of your account and password. It is your sole responsibility to maintain the security of your account and website/s, also you are solely and fully responsible for all activities that occur under the account and any other actions taken in connection with the website/s. Hereby you agree to immediately notify Groopem in writing of any unauthorized uses of the account or any other breaches of security if and when they happen. Groopem will not and cannot be liable for any loss or damage from your failure to comply with this security obligation. You agree and acknowledge that under no circumstances will Groopem be liable, in any way, for any acts or omissions by a Member or Guest, including any damages of any kind incurred as a result of such acts or omissions. You understand that you and not Groopem, are solely and entirely responsible for all Content that you post, upload, transmit or otherwise make available via the Services. Also you understand that all data, information, text, software, music, sound, photographs, graphics, video, messages, goods, products, services or other materials ("Content") are the sole and entire responsibility of the Member or Guest who distributed such Content. We do not control the Content posted via the Services and, as such, we do not guarantee the accuracy, integrity or quality of such Content. In no way and under no circumstances will Groopem be liable for any Content. You are solely responsible for all risks associated with use of any Content.

F) Content on Members websites

Groopem is not and will not be responsible for the Contents of Users web pages, including but not limited to use of copyrighted material without the permission of the author or posting material considered indecent for minors. Also we are not responsible for Content of any Member including but not limited to home pages, forums, blogs, discussion groups, media and comments. At our sole discretion we reserve the right to remove any Content that is in violation of our Terms. User will be held legally responsible for the use of Services for illegal purposes. Such behavior is strictly forbidden and any account found to be or believed to be, in our sole discretion, violating the law may be removed without notice. By your use and viewing of Content, you understand that Groopem does not review Content but that we have complete rights to remove, alter, replace, or reproduce all Content.

G) Description of "User" Conduct

While using the Site, YOU WILL NOT upload, post, email, share, store, transmit or otherwise make available:

• Any false, information or misrepresentation of your identity on your Card or try to impersonate any person.
• Any content that we consider to be unlawful, harmful, defamatory, libelous, hateful, abusive, inflammatory, profane, obscene, fraudulent, vulgar, threatening, harassing, discriminatory, infringing, or racially, ethnically or otherwise objectionable.
• Any personally identifiable third party private information including but not limited to addresses, phone numbers, email addresses, Social Security numbers and credit card numbers for which there is not a field provided by Tweecard.com.
• Any material that infringes upon trademarks, patents, trade secrets copyrights and/or other proprietary rights. Also you will not upload, any type of content, programs, software, media, or MP3 files to our server unless you are the full owner and have all rights to the Content in question. This includes but is not limited to files with the following extensions: .zip, .rar, .arj, .tar, .mp3, .avi, or .exe. Copyrighted files not belonging to Members or Guests posting those files may be deleted without notice.
• Any information to which you have no legal rights to disclose under any law or under any contractual agreement/s (such information includes but is not limited to insider information, or any information obtained or learned as part of a nondisclosure agreement or a previous employment relationship).
• Any Content that may be described in any part by any of the following descriptions:
  • Adult, pornographic, obscene, nude, graphically violent, and other inappropriate Content
  • Offers for or the solicitation of prostitution, erotic, or sexual services
  • Hate, bigotry, and/or intolerance
  • Pirated software or media, including music, videos, images, and other illegal or copyrighted software and Content
  • Copyrighted software which has been "cracked" (e.g., copyright protection for the software has been removed)
  • Any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment
  • Making available serial numbers for software which can be used to illegally validate or register software
  • Hacking, "phishing", or "phreaking" related
  • Making available tools which can be used for no purpose other than "cracking" software
  • Anything related to illegal activity, including defamation, threats, or harassment
  • Offensive and indecent user, file, and directory names or tags, descriptions, and titles
  • Links to any of the above

In addition to all the above and while using the site, YOU WILL NOT:

• Engage in any activity and/ or use the website in a manner that could disrupt, damage, impair, disable, overburden or interfere with the performance of the site as a whole or any of its features as a portion.
• Use "Spamming" in order to promote your website or Content, or engaging in unethical marketing, advertising, or any other practice connected in any way to "spam".
• Harm minors in anyway.
• Promote pyramid or Ponzi schemes or any scam or scheme intended to generate money.
• Offer for sale or sell any item, good or service that violates any applicable federal, state, or local law or regulation; you do not have full power and authority under all relevant laws and regulations to offer and sell, including all necessary licenses and authorizations; or that Groopem determines, in its sole discretion, is inappropriate for sale on Groopem's Services
• Use the site to register for more than one "User" account and/or register for a "User" account on behalf of another individual other than yourself or register for a "User" account on behalf of any entity that you do not legally represent. This includes impersonating any person or entity, including, but not limited to, a VIP MART official, forum leader, guide or host, or falsely stating or otherwise misrepresenting your affiliation with a person or entity
• Stalk, threaten, defame, or otherwise harass another.
• Solicit personal information, passwords, or other data for commercial, unlawful, unethical, or dishonest purposes
• Violate in any way any applicable local, state, national or international law, including, but not limited to, regulations pertaining to the U.S. Securities and Exchange Commission and public or private exchanges
• Make any automated use of the Services

Forge titles or otherwise manipulate identifiers to disguise the origin of any Content used with Services.

H) Privacy

We Care about and value our Users privacy. We view protection of User's privacy as one of our highest priorities and extremely important to our community principle. Any personal Information "Users" provide can be used by us in order to compile mailing lists to be used by the site. We may also collect information automatically about "User" visits to the website which allows us to monitor "User" preferences and to assist us in making website improvements. "Users" have the right to apply for a copy of information about them held by Groopem.com in terms of the Data Protection Act 1998, as well as to have any of their information updated or corrected. We encourage you to visit the Privacy Policy section and make sure you completely understand and agree with it.

I) Third Party Websites and Content

Groopem service (Tweecard.com) allows Users to link or provide a link themselves to other (Third Party Websites). Links may include but are not limited to articles, photographs, text, graphics, pictures, designs, music, sound, video, and other content or items belonging to or originating from third party Websites. We do not investigate, monitor or check for accuracy, appropriateness, or completeness any Third Party Websites, and we are not and will not be responsible for any Third Party Websites accessed through Tweecard.com. Furthermore, we are not and will not be responsible for Third Party Websites content, accuracy, offensiveness, opinions, reliability, privacy practices or other policies. By providing a Link to any Third Party Website, we do not imply approval or endorsement of the Third Party Websites. If you make the decision to leave the site in order to access the Third Party Websites, You do so on your own risk and must be aware that we no longer govern.

J) Advertising ( My Market )

Advertisements may be included through Groopem or third parties, which may be necessary for us in order to continue to provide Services. Your business dealings with, or participation in promotions of, advertisers which are made available to you on or through the Services, including any payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely and entirely between you and such advertiser. You hereby agree that Groopem is not and shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Site. Members, Users, and Guests agree not to contact any advertisers run on Groopem or Websites in reference to the Services. If you have questions or problems regarding advertisements, please contact us through the support or abuse departments.

K) Users Interaction and Disputes

You is solely responsible for your interaction with other Groopem members . We are not and will not be responsible for your interactions and or disputes with other Users. We reserve the right, but have no obligation, to become involved in any way with disputes between Users.

L) Copyrights, Trademarks, Patents and Intellectual Property Rights

Groopem respects copyright law and expects all Users to do the same and abide by it. All content on our Site, including but not limited to, designs, text, graphics, pictures, video, information, music, sound and other files are the proprietary property of Groopem, and, its users or its licensors with all rights reserved. User is permitted to use the site content or Third Party Websites only as expressly authorized and or approved by us or by the Third Party Website. User acknowledges that ALL messages, files or other Content on the Groopem website and within our email messages, and third party advertisements on the Site and distributed via email, of a commercial nature and presented to User by Groopem Us, are protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. User may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through our Site , or Third Party Websites. All templates offered by Groopem are copyrighted material. Such templates are offered for use to Groopem users under license only, and are not offered for sale or unbridled use. Such license limits use of Groopem templates to sites hosted by Groopem through its Services. Our templates may not be transferred to or hosted on another web host or Internet Service Provider.

M) Disputes and Governing Law

The Agreement shall be governed by, and construed in accordance with, the laws of the Government of the common wealth of Puerto Rico, without regard to its conflict of law provisions. User and Groopem agree to submit to the exclusive jurisdiction of the courts located within the Island of Puerto Rico to resolve any dispute arising out of the Agreement.

N) Disclaimer of Warranties

THE GROOPEM SERVICE IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" WITH NO WARRANTY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROOPEM DISCLAIMS ALL WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, THE IMPLIED CONDITION OF SATISFACTORY QUALITY AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. YOU ACKNOWLEDGE THAT IF YOU RELY ON ANY INFORMATION OR CONTENT ON THE SERVICE, YOU DO SO SOLELY AT YOUR OWN RISK.

O) Total Agreement

Upon Use of Groopem, this Agreement is accepted by User. This Agreement constitutes the entire agreement between User and Us regarding the use of the Site. Our failure to enforce or exercise any right or provision of this User Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement operates to the fullest extent permissible by law. If any provision of this User Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions. You agree to indemnify and hold the Company, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with any User Content, any Third Party Applications, Software or Content you post or share on or through the Site (including through the Share Service), your use of the Service or the Site, your conduct in connection with the Service or the Site or with other users of the Service or the Site, or any violation of this Agreement or of any law or the rights of any third party. To the full extent permissible under the applicable law, Groopem shall not be liable for any direct, indirect, incidental, special or consequential damages resulting from the use or inability to use Groopem services.
